Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stobio ("Stobio", the "Platform", or the "Service"). By creating an account, accessing the Platform, or otherwise using the Service, you agree to be bound by these Terms.

1. Parties

Stobio is operated as a sole trader by its founder, Selman Kılınç, based in Türkiye ("we", "us", or "Stobio"). "Stobio" is a trading name used to provide the Service. References to "you" or "Customer" mean the individual or organization that registers for or uses the Platform.

2. Description of the Service

Stobio is a server-side tracking tool for e-commerce websites. The Service collects events from a Customer's storefront, applies configurable processing rules, and forwards those events to third-party destinations including Google Analytics 4 ("GA4") and the Meta (Facebook) Conversions API.

The Service is offered as a software-as-a-service product. We may update, modify, or discontinue features over time. We will use commercially reasonable efforts to keep the Service available and stable but do not guarantee uninterrupted or error-free operation.

3. Account Registration

To use most features of the Platform you must create an account and provide a valid email address. You are responsible for maintaining the confidentiality of your credentials and for any activity that occurs under your account.

You must promptly notify us of any unauthorized access to your account at support@stobio.com.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

Stobio is offered under monthly recurring subscription plans, currently:

Plans differ in the monthly volume of tracked events permitted. Current pricing may be revised in the future. We will notify existing customers in advance of any price changes affecting their subscription.

Subscriptions renew automatically at the end of each billing cycle unless cancelled. You can cancel your subscription at any time from your account; cancellation takes effect at the end of the then-current billing period.

6. Payment Processing — Merchant of Record

Payments for the Service are processed through Paddle, which acts as the Merchant of Record for all transactions. Paddle is responsible for collecting and remitting applicable sales tax, VAT, and other transaction taxes, and for handling payment compliance (including SCA where required).

When you purchase a subscription, you also enter into a separate agreement with Paddle for the payment transaction. Paddle's terms and privacy notice are available at paddle.com/legal.

Refunds are governed by our Refund Policy.

7. Customer Data

You retain ownership of the data you submit to the Service, including event data collected from your storefront ("Customer Data"). You grant Stobio a limited, non-exclusive license to process Customer Data solely for the purpose of providing, securing, and improving the Service.

Our processing of personal data is described in our Privacy Policy. Where Stobio acts as a processor on your behalf, the parties will rely on the data processing terms referenced in the Privacy Policy.

8. Third-Party Destinations

The Service forwards events to third-party platforms (e.g. GA4, Meta) that you choose to configure. You are responsible for your own accounts and credentials on those platforms, for the configuration of those destinations, and for any data you instruct Stobio to forward to them. We are not responsible for the availability, behavior, or policies of third-party destinations.

9. Intellectual Property

The Platform, including its software, design, trademarks, logos, user interfaces, documentation, and underlying technology, is owned by Stobio or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Service except as expressly permitted in these Terms.

10. Suspension and Termination

You may close your account at any time. Closing your account will end your subscription at the end of the current billing period and stop the processing of new events.

We may suspend or terminate your access to the Service if you materially breach these Terms, if your use of the Service creates a security or legal risk for us or others, or if payment for the Service fails and is not remedied within a reasonable period.

After termination, we will retain or delete Customer Data in accordance with the retention periods described in our Privacy Policy and applicable law.

11. Warranty Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.

12. Limitation of Liability

To the maximum extent permitted by law, Stobio will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service.

Our total aggregate liability arising out of or relating to these Terms will not exceed the amount you paid to Stobio for the Service in the three (3) months preceding the event giving rise to the claim. If you have not paid any fees in that period, our aggregate liability is limited to the amount permitted under applicable law.

Nothing in this section excludes or limits our liability for death or personal injury caused by our negligence, fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Stobio against any third-party claim arising out of (a) your breach of these Terms, (b) Customer Data you submit to the Service, or (c) your use of the Service in violation of applicable law.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform or by email to the address associated with your account. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the competent courts of Istanbul, Türkiye, without prejudice to your mandatory consumer rights under your local law.

Because Paddle acts as Merchant of Record, payment-related matters are also subject to Paddle's terms of service in their respective jurisdictions.
